Supplemental Terms and Conditions For Google Cloud Platform Free Trial

These Supplemental Terms and Conditions for Google Cloud Platform Free Trial (“Free Trial Terms and Conditions”) are an addendum to the Google Cloud Platform Terms of Service or, if applicable, the offline agreement between Google and Customer governing Customer’s use of the Google Cloud Platform services (the applicable agreement, the “GCP Agreement”), and apply to Customer‘s participation in the Google Cloud Platform Free Trial (“Free Trial”). Capitalized terms not defined in the Free Trial Terms and Conditions will have the meanings given to them in the GCP Agreement.

1. Conditions.

1.1 The Free Trial applies only to the use of the Services. Use of the Services under the Free Trial is subject to the terms of the GCP Agreement except as otherwise specified in the Free Trial Terms and Conditions.

1.2 Only new Google Cloud Platform customers are eligible to participate in the Free Trial. U.S. federal, state, or local government entities are not eligible to participate in the Free Trial unless agreed to by Google in writing.

1.3 The Free Trial starts when Customer creates a billing account in the Google Cloud console (“Free Trial Start Date”) and ends on the earlier of: (i) the date that Customer’s fees for usage exceeds the $300 credit provided under the Free Trial, or (ii) 3 months from the Free Trial Start Date (on this date any unused credit will expire).

2. Communications.

Customer may receive periodic communications from Google at the contact information submitted/linked during the Free Trial sign up and associated with the Free Trial account, such as training and on-boarding materials, product tips and updates, event information and special offers related to Google Cloud products and services. Customers can stop receiving email communications by opting out via the unsubscribe link in the emails. Personal data we collect is subject to Google’s Privacy Policy.

3. Limitations.

3.1 Customer’s use of Google Compute Engine is restricted to only eight cores of concurrent usage per Free Trial (as further described in Documentation).

3.2 Customer may not use the Services to engage in mining cryptocurrency.

3.3 Certain Services and features will not be available under the Free Trial, as indicated in the Google Cloud console.

3.4 The SLAs and Google’s indemnity do not apply to use of the Services under the Free Trial. Services provided under the Free Trial are not covered by TSS.

3.5 If Customer’s credit card or other form of payment expires or otherwise becomes invalid during the Free Trial, Customer’s account may be suspended until such issue is resolved.

3.6 Google may terminate or modify the Free Trial at any time with or without notice to Customer.

4. Upgrading to Standard Google Cloud Platform Account.

4.1 At any time during the Free Trial, Customer may convert its Free Trial account into a standard Google Cloud Platform account by clicking the “Upgrade” button in the Google Cloud console.

4.2 If Customer upgrades to the standard Google Cloud Platform account before the Free Trial ends, any unused credit will continue to apply and will expire 3 months after the Free Trial Start Date if it remains unused.

4.3 Customer’s continued use of the Services after upgrading to the standard Google Cloud Platform account is subject to Customer’s compliance with the GCP Agreement, and the Free Trial Terms and Conditions will no longer apply.

5. Conclusion of the Free Trial.

5.1 When the Free Trial ends or terminates, Customer will no longer have access to the Services.

5.2 During the 30 day period following the conclusion of the Free Trial, Customer may contact Google support (i) to migrate Customer Data from the Services (other than Google Compute Engine); or (ii) to upgrade to a standard Google Cloud Platform account.

6. Miscellaneous.

6.1 Sections 2, 3.4, 5, 6.1, and 6.2 will survive any expiration or termination of the Free Trial Terms and Conditions.

6.2 If the terms of the Free Trial Terms and Conditions and the GCP Agreement conflict, the terms of the Free Trial Terms and Conditions will govern.

6.3 If Customer's Free Trial Start Date is before August 17, 2020, then notwithstanding anything to the contrary in Sections 1.3(ii) and 4.2 above, unused credit expires 12 months from the Free Trial Start Date.
