Google Cloud Marketplace - Agency Jurisdictions

Notice: The terms at this page are not effective until further notice from Google. Until such time, Google will be the merchant of record for all transactions through the Marketplace.
This page is referenced in the Marketplace Vendor Agreement between You and Google or the other agreement under which Google lists Your Products on the Marketplace (the “Agreement”) and lists the jurisdictions in which Google and/or its applicable Affiliate (listed below based on Your jurisdiction) will act on Your behalf as Your Payment Agent as set forth in the Agreement. Additional terms that apply when such entity(ies) act as Your Payment Agent in the listed jurisdictions are also set forth in the applicable sections below.
Google and/or the affiliate listed below will act as Your Payment Agent with respect to payment transactions for Your Products where both You and the Customer are located in one of the jurisdictions listed below. In all other jurisdictions, Google will be the merchant of record and Your reseller with respect to sales of Your Products to Customers through the Marketplace.
Capitalized terms used but not defined on this page have the meaning given to them in the Agreement. To the extent there is a conflict between the terms stated on this page and the provisions of the Agreement, the terms stated on this page will prevail.
United States (excluding Marketplace Customers located in Nevada and GCP Resellers*)
* Google will be the merchant of record and Your reseller for (i) transactions for Your Products involving Customers located in Nevada and (ii) transactions for Your Products with GCP Resellers.
Google Payment Corp. (“GPC”), a subsidiary of Google LLC, will act as your sole Payment Agent for payment transactions for Your Products where both You and the Customer are located within the United States. The following terms apply to those transactions in addition to the terms applicable to such transactions under the Agreement:
1. Settlement of Payment Transactions
Google and GPC reserve the right to delay processing or settlement of payment transactions (including the payment of Vendor Net Revenue to You) in the event You or a Customer do not successfully complete Google’s Compliance Process (as defined in the Agreement), including identity verification, or Google or GPC reasonably believe there is potentially suspicious, illegal, or fraudulent activity related to Your or a Customer’s use of the Marketplace or a transaction on the Marketplace for Your Products. Neither Google nor GPC will have any liability to You for any delay in making settled funds available to You under this Section.
2. No Interest
GPC will hold funds received from the applicable Customer’s payment method issuer or account-holding institution as Your Payment Agent, pending transfer to You. You will not have access to funds in the process of settlement to You. You also will not earn interest on such funds and the funds are not insured for your benefit by any government agency.
3. Limitation of Liability
You agree that GPC’s total aggregate Liability for damages arising out of or relating to the Agreement is limited to the Vendor Net Revenue paid or payable to You under the Agreement during the 12-month period before the event giving rise to Liability. This Section shall survive termination of the Agreement.
