Supplemental Paid Credit Terms

These terms supplement the Google Cloud Terms of Service or any other agreement in which the Supplemental Paid Credit Terms are referenced (the "Agreement"), and govern any credits purchased to use certain Services ("Paid Credits"). The Services for which Customer purchases Paid Credits will be identified in the Admin Console (such Services, the "Relevant Services"). Capitalized terms used but not defined in these terms have the meanings given in the Agreement.

1. Business Use Only. Customer may only purchase Paid Credits for business or professional use of the Relevant Services and payment of applicable Taxes.

2. Value and Duration of Credits; Taxes. Customer may only purchase and consume Paid Credits up to the maximum values specified by Google at https://ai.google.dev/gemini-api/docs/billing#about-billing (as may be updated by Google from time to time). Such values are Tax-inclusive unless otherwise indicated at https://ai.google.dev/gemini-api/docs/billing#about-billing. Paid Credits will expire upon the earlier of (a) twelve (12) months after their purchase date or (b) termination of the Agreement. Google will calculate and (i) charge any Taxes applicable to the purchase of Paid Credits, or (ii) deduct from Customer’s Paid Credits any Taxes applicable to the consumption of those credits. Customer may access information about its Paid Credits at any time by visiting ai.studio/billing and may enable automatic purchasing of new Paid Credits via the Admin Console up to the applicable maximum value.

3. Provision and Suspension of Services. Customer may consume Paid Credits by using the Relevant Services (and paying applicable Taxes) in accordance with the Agreement. Accordingly, if all Customer’s Paid Credits have been consumed or expire while the Agreement remains in force, Google may, until Customer purchases new Paid Credits: (a) suspend Customer's use of those Services (and will notify Customer of the basis for the suspension as soon as is reasonably possible) or (b) invoice or charge Customer for Fees applicable to any use of those Services.

4. Refunds.

(a) Refunds Generally. Subject to subsections (b) (Transition to Payment in Arrears), (c) (Statutory Cancellation Rights) and (d) (Other Rights and Remedies), Paid Credits purchased by Customer are not refundable or extendable for any reason.

(b) Transition to Payment in Arrears. If Customer is no longer required to purchase Paid Credits in order to use the Relevant Services, then: (i) Google will notify Customer; (ii) Customer may transition their use of the Relevant Services to payment in arrears; and (iii) if Customer completes such transition, Google will issue a pro rata refund for Customer’s remaining balance of Paid Credits.

(c) Statutory Cancellation Rights. If Customer is entitled under applicable law to cancel the purchase of Paid Credits (together with Google’s provision of the Relevant Services) and receive a pro rata refund for Customer’s remaining balance of Paid Credits, Customer may exercise such rights as described in subsection (e) (Refund Requests).

(d) Other Rights or Remedies. Nothing in these terms excludes or limits any rights or remedies of Customer that cannot be excluded or limited under applicable law.

(e) Refund Requests. To request any refunds in accordance with these terms, Customer must contact Google Cloud support.

5. Other Restrictions. Paid Credits will not count towards any applicable Minimum Commitment obligations; may not be transferred or sold; and are not redeemable for cash or other value or interest-bearing. Customer agrees that, by purchasing Paid Credits, Customer is not depositing money with Google.

6. Other Services. Customer’s purchase of Paid Credits in relation to the Relevant Services does not, itself, prevent or restrict Customer from purchasing or using any other Services, but Paid Credits may not be applied to any Services other than the Relevant Services.
