Rapid Migration and Modernization Program Terms

These Rapid Migration and Modernization Program Terms (“RaMP Terms”) are incorporated into the agreement under which Google has agreed to provide Google Cloud Platform to Customer (the “Agreement”), which includes the applicable agreement between the parties referencing these RaMP Terms (“RaMP Agreement”). Capitalized terms used but not defined in the RaMP Terms have the meaning given to them in the Agreement or RaMP Agreement, as applicable. If the Agreement authorizes the resale or supply of Google Cloud Platform under a Google Cloud partner or reseller program, then for the purposes of these RaMP Terms: (i) references to Customer mean Partner, (ii) applicable references to Customer’s Minimum Commitment obligation mean Partner’s Minimum Commitment associated with the corresponding Relevant Customer and Subaccount(s) referenced in the applicable RaMP Agreement, (iii) where applicable, actions may be taken by Partner or Relevant Customer, (iv) all commitments included in these RaMP Terms apply only to the Relevant Customer and Subaccount(s) listed in the applicable RaMP Agreement, and (v) sections of these RaMP Terms entitled “Training and Implementation Services Funds (TIF)” and “Google Cloud Consulting Services Funds (GSF)” do not apply.

Definitions

Google Cloud TTM” means Customer’s trailing 12 month incremental eligible RaMP spend on Customer’s primary billing account (or, as applicable, the primary Subaccount associated with Relevant Customer), which is equal to (a) Customer’s trailing 12 month spend on SKUs in the RaMP 2026 SKU Group available at https://cloud.google.com/skus/sku-groups/ramp-2026 at the end of the applicable calendar quarter minus (b) Customer’s highest trailing 12 month spend on those same SKUs out of all previous calendar quarters within the RaMP Period, in each case on Customer’s primary billing account (or, as applicable, the primary Subaccount associated with Relevant Customer).

Projected Annual Run Rate” means the estimated gross annual recurring revenue for fully ramped workloads. The Projected Annual Run Rate for SAP Partner Services Funds is the estimated annual average spend over the applicable deal term (e.g., over the Commitment Period(s) in a Google Cloud Addendum).

RaMP Period” means the 3-year period beginning on the RaMP Agreement Implementation Date.

Workload Type” means the applicable workload identified under the column “Type” in the RaMP Incentive Rates table below.

RaMP Incentive Release

Upon the parties entering into a new RaMP Agreement, or upon Google accepting (via the Admin Console) a new workload (with a unique workload ID) as part of an existing RaMP Agreement, Google will, for each applicable workload, make available to Customer the corresponding Google Cloud Consulting Services Funds, Training and Implementation Services Funds, Partner Services Funds, and SAP Partner Services Funds (as applicable) specified in the RaMP Incentive Rates table below, based on the applicable Workload Type(s) and in accordance with the applicable incentive terms provided in these RaMP Terms. For the avoidance of doubt, the cumulative incentive amount specified for (i) Google Cloud Consulting Services Funds, (ii) Training and Implementation Services Funds, and (iii) Partner Services Funds may be used for any combination of those incentive types, but, regardless of how the funds are used, the total amount for any given workload will not exceed the specified cumulative amount.

With respect to Service Credits, if Customer appropriately tags Projects with the applicable workload ID during the RaMP Period, and Google Cloud TTM growth for all of Customer’s workloads is equal to or greater than the Google Cloud TTM growth of the applicable workload, then Google will provide Customer the corresponding amount of Service Credits based on the applicable Workload Type as described in the RaMP Incentive Rates table below for the applicable workload’s Google Cloud TTM growth during the RaMP Period.

RaMP Incentive Expiration

Any disbursed, but unused, RaMP incentive expires 12 months from incentive issuance.

Addition of Workload Type

If Google makes available a new Workload Type during the RaMP Period, and if Customer submits an eligible workload of that Workload Type in the Admin Console under an existing RaMP Agreement, then the new terms (if any) and rates applicable to that new Workload Type that are in effect when that workload is accepted will apply with respect only to that workload.

Google Cloud Platform Service Credits (“Service Credits”)

Service Credits will be applied toward the Fees incurred by Customer, at list prices, on its primary billing account (or, as applicable, the primary Subaccount associated with Relevant Customer) for (i) Google Cloud Platform Services and (ii) SKUs in the Select Google Cloud Offerings SKU Group available at https://cloud.google.com/skus/sku-groups/select-google-cloud-offerings. Service Credits will not count towards Customer’s Minimum Commitment obligation (if any). Service Credits will be deposited within 45 days of each calendar quarter-end beginning with the quarter-end falling on June 30, 2026. For clarity, the first set of earned Service Credits for RaMP Agreements executed through June 30, 2026 would be deposited into the primary invoiced billing account (or, as applicable, the primary Subaccount associated with Relevant Customer) by August 15, 2026.

Training and Implementation Services Funds (“TIF”)

TIF may be redeemed for training and implementation services provided under an effective TIF Agreement at list prices during the RaMP Period through issuance of an Order Form for the applicable services. TIF will not count toward Customer’s Minimum Commitment obligation (if any). TIF are subject to program rules described in the applicable data sheet for TIF (currently Training and Implementation Services Stored Value). “TIF Agreement” means the applicable agreement between the parties governing Customer’s receipt of implementation, advisory, or training services described at https://g.co/cloudpsodatasheets.

Google Cloud Consulting Services Funds (“GSF”)

GSF may be redeemed for implementation and advisory services provided under an effective GSF Agreement (unless otherwise agreed) at list prices during the RaMP Period through issuance of an Order Form for the applicable services. GSF will not count toward Customer’s Minimum Commitment obligation (if any). GSF are subject to program rules described in the applicable data sheet for GSF. “GSF Agreement” means the applicable agreement between the parties governing Customer’s receipt of implementation or advisory services described at https://g.co/cloudpsodatasheets.

Partner Services Funds

For any Partner RaMP Agreement, references to Customer in this section mean Relevant Customer.

Partner Funding Program” means the Google-sponsored program under which Google makes available funds to defray costs incurred for qualifying Partner Services.

Partner Services” means implementation, customization, configuration, or data migration services (in each case including related project management, change management, and training) provided by the PF Partner for Customer’s implementation or deployment of the applicable workload.

PF Partner” means a Google-authorized entity that is participating in Google’s Partner Funding Program and that has a services agreement with Customer. If Partner Services qualify for funding under the Partner Funding Program (including having already obtained Google’s pre-approval of an applicable statement of work submitted by the Partner), Google will pay the PF Partner up to the amount specified for the applicable workload less any applicable Taxes (“Partner Services Funds”) for the provision of Partner Services to Customer (no payment will be made to Customer, and the stated amount includes any applicable Taxes required to be remitted to the Partner or a tax authority), provided that (i) the PF Partner and Partner Services satisfy all terms for funds payout under the Partner Services Funding Program, and (ii) Customer:

(a) accepts the Partner Services during the period specified below, unless Google extends such period in writing; and

(b) upon Google’s request, confirms in writing that the Partner Services have been completed.

Partner Services Funds may not, directly or indirectly, offset any other Customer expenses (e.g., the PF Partner cannot subsidize Customer’s Google Cloud consumption in connection with Partner Services Funds). Google is not responsible for any amounts owed to the PF Partner for the Partner Services in excess of the amount specified. Google accepts no liability or responsibility for the Partner Services or any other work performed by the PF Partner. Google may inform the applicable PF Partner when relevant spend thresholds are met.

SAP Partner Services Funds

SAP Partner Services Funds are subject to the same terms as Partner Services Funds, but the Partner Services may only be used for migrating SAP workloads to Google Cloud Platform.

Misuse

If Google becomes aware that Customer’s use of RaMP results in misuse or abuse of tagging, violates the program guidelines or these RaMP Terms (as determined by Google in its reasonable discretion), then Google may suspend or terminate (a) Customer’s participation in RaMP and (b) Customer’s RaMP Agreement(s) upon notice. Upon termination of a RaMP Agreement, Customer will no longer receive additional RaMP incentives under that RaMP Agreement, and any disbursed, but unused, RaMP incentives will be cancelled.

Termination

If the Agreement is terminated, then Customer’s participation in RaMP and all RaMP Agreements, and Customer’s eligibility for RaMP incentives, will cease immediately. Upon termination of the Agreement, Customer will no longer receive further RaMP incentives, and any disbursed, but unused, RaMP incentive will be cancelled.

Tagging Requirements

Customer must tag applicable Projects with the associated workload ID tag in the Admin Console. Additional details on how to tag Projects can be found in the program guidelines at https://cloud.google.com/ramp.
