Google Cloud User Experience Research Panel Addendum

GOOGLE CLOUD USER EXPERIENCE RESEARCH PANEL ADDENDUM

This Google Cloud User Experience Research Panel Addendum (this "UX Addendum") is an addendum to Customer's Google Cloud Platform License Agreement, G Suite Agreement or Google Cloud Master Agreement, as applicable (the "Google Cloud Agreement"). Capitalized terms not defined in this UX Addendum will have the meanings given in the Google Cloud Agreement.

1. Background

1.1 Google wishes to conduct user experience studies with individuals in Customer's organization who use Google Cloud products ("End Users") in order to research, analyze and improve the usability of Google's current and future cloud products and services and to operate the Google Cloud User Experience Research Program (the "UX Program") as described in this UX Addendum (collectively, the "Purpose").

1.2 In exchange for the opportunity to access certain information and provide input into Google's product development, Customer may cooperate with Google for the Purpose as described in this UX Addendum.

2. Customer Responsibilities

2.1 Customer may nominate a panel of End Users who are at least 18 years of age and have voluntarily consented to participate in the UX Program (the "Panel"), and authorizes Google to contact any nominated End Users as described in this UX Addendum.

2.2 If Customer nominates End Users for a Panel, Customer will:

(a) collect written consents from the End Users enabling Google to contact them for the Purpose;

(b) not permit participation in the Panel by an End User who has (i) not consented in writing to participate in the UX Program or (ii) revoked a consent already executed;

(c) promptly notify Google via email to cloud-panel-support@google.com if an End User revokes his/her consent to participate in the Panel or requests deletion of his/her personal data related to the UX Program;

(d) permit Google, at its option, to obtain audio-visual releases directly from End Users who consent to Google recording their voices and/or images in connection with their participation in the Panel; and

(e) nominate an individual who will be Customer's administrative contact (the "Administrator") for the Panel.

2.3 The Administrator will manage Customer's participation in the UX Program, including (without limitation):

(a) managing the list of End Users on the Panel;

(b) supplying Google with contact details for Panel members, for use by Google for the Purpose;

(c) designating how frequently Google may contact Panel members for the Purpose;

(d) determining whether Panel members may receive any applicable incentives from Google to participate in the UX Program; and

(e) supplying any other information necessary for Customer's or any Panel member's participation in the UX Program.

Customer authorizes Google to contact the Administrator for the Purpose, and will collect the written consent enabling Google to do so.

3. Feedback

3.1 In connection with the UX Program, Google may ask a Panel member to:

(a) permit Google to record his/her voice and/or image and create a transcript of such recordings; and

(b) provide comments, feedback, ideas, reports, suggestions, survey responses, feature requests, data and other information (collectively, "Comments").

Such recordings, transcripts and Comments (collectively, "Feedback") may include Customer Data provided via the Services by an End User Panel member. Feedback is not required, but may be permitted or provided on a voluntary basis.

3.2 Google may, and Customer will ensure that Google may, use the Feedback (including any personal data and Customer Data in the Feedback and any/all Intellectual Property Rights relating to the Feedback) in perpetuity for the Purpose without restriction and without obligation to Customer or any Panel member except as set out in Sections 3.3 and 4 of this UX Addendum.

3.3 Google will:

(a) retain personal data within the Feedback only as long as necessary for the Purpose;

(b) not publicly display any Feedback that personally identifies any Panel member without specific written consent from Customer and the relevant Panel member;

(c) accept any revocation of consent or deletion request notified to it as described in Section 2.2; and

(d) otherwise treat personal data within the Feedback in accordance with its Privacy Policy (available at http://www.google.com/privacy.html), notwithstanding the terms of the Data Processing Amendment to G Suite and/or Complementary Product Agreement or Google Cloud Platform Data Processing and Security Terms, as applicable.

4. Confidential Information

Any information disclosed under this UX Addendum that is marked as confidential or would normally be considered confidential under the circumstances will be Confidential Information and, as such, subject to the terms in the Google Cloud Agreement that apply to confidentiality.

5. Miscellaneous

5.1 This UX Addendum does not oblige Google to use the Feedback.

5.2 If there is a conflict between this UX Addendum and the Google Cloud Agreement, notwithstanding any term in the remainder of the Google Cloud Agreement, this UX Addendum will govern.

5.3 Customer acknowledges that (a) its participation in the UX Program is voluntary; (b) it does not have a partnership, employer-employee, agency or joint venture relationship with Google; and (c) it has no expectation of being compensated for participating in the UX Program.

5.4 Google may modify this UX Addendum with written notice to Customer, and Customer's continued participation in the UX Program will constitute Customer's acceptance of such modified Addendum.

5.5 This UX Addendum is effective as of the date countersigned by Google and remains in force until terminated by either party with 30 days' written notice. Sections 2.2(c), 3.2, 3.3, 4 and 5 will survive termination of this UX Addendum.
